Subscription Terms

These Subscription Terms are valid from 1st of January 2025.
These IPRoyal Services FZE LLC Subscription Terms set out the rules applied to subscription-based Services as indicated in the Terms of Service. These Subscription Terms shall be applicable and interpreted in line with Terms of Service. The definitions set out in the Terms of Service and shall be applicable to the Subscription Terms.
Please read these Subscription Terms carefully and in their entirety as they include, among other things, important rules regarding:
- Validity of the first order price applicable only to the initial Service provision period (clauses 1.2.1., 3.2.1., 4.2.);
- Difference between subscription plans (section 1.);
- Auto-renewal of the Service provision periods as well as recurring payments (clauses 1.5., 2.1., 3.2.1.);
- Your right to cancel the subscription (clauses 2.2., 3.2.3., 4.5.1.).
1. Subscription Overview and Options
1.1. Subscription Model :
1.1.1. Our Services are available on both a subscription and a pay-as-you-go model. The pay-as-you-go Services are governed by Terms of Service , while the subscription Services are also subject to these Subscription Terms.
1.1.2. Services under pay-as-you-go model cannot be changed to a Subscription model. Change from a Subscription model to a pay-as-you-go model is only possible after turning-off/deactivating the active auto-renewal option (clause 2.2.).
1.1.3. Upon purchasing a Service, You will have the option to select a specific subscription plan from the available list of Service offers that are displayed on the System and the dashboard.
1.2. Subscription Plan Details :
1.2.1. The subscription plan as the Service offer will indicate the length of a single Service provision period, the price applicable to the subscription, and the frequency of payments to be made for each Service provision period. Subscription plan options may include different pricing/terms and data amount variations and You shall choose a subscription plan from the Service offer list. Once the subscription plan is ordered and the payment for the initial Service provision period is concluded, You will receive Your purchase confirmation email with the main information about Your ordered Service and its subscription model.
1.2.2. All alterations to orders may be done by the Clients on the dashboard. Clients can view the details of each order individually within the respective plan section, as well as collectively in the “My Orders” section.
1.3. The subscription plans we offer are of the following nature:
1.3.1. Based on period limit: The Client selects a specific duration period during which the Client receives an unlimited amount of data. Each chosen time period is a separate Service provision period, and the Client must pay for each Service provision period to maintain access to the unlimited data.
1.3.2. Based on data limit: the Client purchases a selected amount of data that can be used without any time limitation during the paid Service provision period or until the data is used in full in case of subscription cancellation. This means the data can be consumed in one day or over the span of any other period, according to the Client’s preference, as long as the Client’s access to Service is valid. The Service provision period is indicated in the Service offer; if such is not indicated - the Service provision period is one month, and the Client must pay the subscription fee for each Service provision period to maintain receiving the additional amount of data. At the end of each Service provision period, for any following paid period the Client receives the same amount of data the Client initially purchased, which accumulates with any data left over from previous periods.
1.4. Individual properties of the Service offers and amendments:
1.4.1. Clients are permitted to have multiple plans active simultaneously (but have to order them separately) and amend their ongoing orders as per the options provided in the dashboard.
1.4.2. Subscription plan options may include various discounts and limited-time offers, as well as upgrade options for certain time periods or data packages. At the time we offer the following Upgrade models:
1.4.2.1. For subscription plans based on period limits: In case the Client purchases an additional Service based on period limits on top of a valid order or modifies it (e.g. tops-up period based order by increasing the period ordered), the terms of the latest order modification will prevail. In case of an upgrade/amendment, the payable sum will be adjusted to reflect the latest pricing. Additionally, the billing cycle will reset and will be based on the date on which the latest upgrade/amendment was made.
1.4.2.2. For subscription plans based on data limits: In case the Client purchases additional Service based on data limits on top of a valid order or modifies it (e.g. tops-up data-based order by increasing the data ordered) the terms of the clause 1.4.2.1. will prevail or the following terms will prevail:
1.4.2.2.1. Payment Date: Auto-renewal payments will always occur on the same day each month as the initial purchase date.
1.4.2.2.2. Top-Up Handling: When the Client performs a top-up/upgrade, they must select an amount equal to or greater than the previously purchased data quantity. Upon top-up/upgrade, the Client pays for the updated data amount, and the final total topped-up data amount becomes the new baseline for future auto-renewal payments. Any unused data from the previous month will be carried over.
1.4.2.2.3. Data Display: The Client will see the total data quantity that will be available after the top-up/upgrade is completed, including the existing balance and the new top-up/upgraded amount.
1.4.2.2.4. Top-Up Limitations: If the Client wishes to top-up a lower amount of data than previously purchased, the only option is to cancel the current subscription and make a new purchase.
1.4.2.2.5. Pricing and other conditions: The payable sum will be adjusted to reflect the latest pricing for the total amount.
1.4.2.2.6. The terms of the latest order modification will prevail for any other circumstances not mentioned in the clauses above.
1.4.3. The actual applicable Upgrade model will be specified to the Client together with the payment terms at the time of placing the order.
1.4.4. In case You wish to receive an additional Service and Your current paid Service does not provide option to upgrade/modify, You shall conclude a new order and they each will be processed as separate orders.
1.4.5. The Client must read the subscription description that appears upon selecting a subscription plan to understand the specific terms and conditions applicable to it. By selecting a subscription plan or by choosing to modify it You agree to be bound by its terms and pricing.
1.4.6. You shall always analyze the provided options and make sure You are aware of the applicable subscription model, prices, discount/offer conditions, and terms applicable. By making the order or making any modifications to the existing one, You confirm understanding Your obligations in full.
1.5. Auto-Renewal: Please note that following completion of Your initial Service provision period under the chosen subscription plan, Your purchased plan and further access to the Service will be auto-renewed for an unlimited number of additional Service provision periods for a recurring subscription fee (as further outlined below in section 2). By concluding the order for Your chosen subscription plan You agree with the auto-renewal.
1.6. Consent and Agreement : By concluding an order and giving Your payment information to purchase Service under the selected subscription plan, You hereby confirm:
1.6.1. Understanding and accepting of the terms applicable to selected plan and acknowledging Your obligation to adhere to these Subscription Terms, the Terms of Service, the Privacy Policy, and any other relevant Company policies.
1.6.2. Understanding the subscription concept and agreeing to the automatic extension of Service periods (the auto-renewal) and the corresponding recurring charges.
1.6.3. Understanding Your rights and obligations, as well as options of auto-renewal/subscription cancellation.
2. Auto-Renewal Rules and Management
2.1. Auto-renewal will be turned on automatically upon Service order conclusion (by ordering a new plan or by upgrading/modifying the current one).
2.1.1. For period-based plans: Service provision periods will be auto-renewed for the same duration as the initial Service provision period, unless Service provision period is modified upon upgrade. Also You can manually enable auto-renewal for current orders on the dashboard (in the plan selection area) or in the section “My orders”.
2.1.2. For data-based plans: The Service provision period is indicated in the Service offer; if such is not indicated, the Service provision period is one month. Service provision will be auto-renewed for the same data plan as the initial plan, unless any changes are implemented upon upgrade.
2.2. You can turn off/deactivate the auto-renewal option at any moment on the dashboard (in the plan selection area and for the each plan separately) or in the section “My orders”:
2.2.1. For plans based on period limit: You may deactivate or activate it again the auto-renewal option for Your current plan by using a toggle switch that you can find near Your order information.
2.2.2. For plans based on data limit: You may choose the “cancel subscription” (You can find an option near Your order information) option to turn off the auto-renewal for Your current plan. The cancellation of auto-renewal for data-based plans is permanent and cannot be recalled. In case You would like to reinstate getting Services under a similar data-based plan after the cancellation of the auto-renewal option, You will need to conclude a new order subject to the terms and conditions in effect at the time of that order.
2.3. Service provision period durations
2.3.1. Data-based plans: the Service provision period is indicated in the Service offer; if such is not indicated - the service provision period is one month. The same amount of data the Client initially purchased is added for every subsequent service provision period. If the subscription is canceled, access to the Service/data ordered is available until You use all data paid up for and Your Account is active.
2.3.2. Period-based plans: You can choose from subscription plans that offer different Service provision periods indicated in the System and the dashboard. If the subscription is canceled, access to the Service/data ordered is also canceled at the expiration of the last paid Service provision period.
3. Notifications and Payments
3.1. Notifications
3.1.1. Upon successful payment for the initial Service provision period and any following Service provision periods, You will receive an electronic confirmation email containing both a purchase confirmation and a detailed receipt for Your records. You can also find this information in Your dashboard at all times.
3.1.2. For all subscription plans, with the exception to period-based plans with 1-day Service provision period, Clients will receive an email notification with the confirmation of charged payments, information about following payment and instructions for subscription cancellation 5 days before the auto-renewal (upcoming payment) date, and on the day the fee was charged . Clients that have ordered a 1-day-period subscription plan will receive an email notification with the confirmation of charged payments, information about following payment and instructions for subscription cancellation no less than 3 hours before the end of the Service provision period.
3.1.3. To avoid incurring charges for a subsequent subscription period, You have the right to cancel Your Subscription before the start of the new renewed Service period has started.
3.2. Payments for auto-renewal and Attempts
3.2.1. You will be subject to the price for all Service provision periods in effect at the time of Your subscription’s orders/renewals time, or at the time of upgrade/modification, if such is done by You. The payment will be processed using the method You have chosen upon paying for the initial Service provision period or later changed on Your dashboard.
3.2.2. We charge You upfront for Your chosen subscription plan and its Service provision periods. This means You’ll be charged before the new Service provision period starts, unless You cancel beforehand.
3.2.3. To avoid auto-renewal charges, You have the right to terminate Your subscription before the scheduled charge date. The rules for canceling and avoiding charges differ based on the subscription plan type:
3.2.3.1. For Period-Based Subscription Plans:
3.2.3.1.1. 1-Day-Subscription Plans: The charge will be made within 3 hours before the expiry of the current Service provision period. You are encouraged to cancel at least 3 hours before the renewal date to avoid incurring charges for a subsequent period.
3.2.3.1.2. Other Period-Based Plans: The charge will be made within 3 days before the expiry of the current Service provision period. You are encouraged to cancel at least 3 days before the renewal date to avoid incurring charges for a subsequent period.
3.2.3.2. For Data-Based Subscription Plans:
3.2.3.2.1. Auto-renewal payments will always occur any time on the day Your auto-renewal payment is due as specified in clause 1.4.2.2.
3.2.4. In the event of a payment failure due to reasons on the Client’s side (such as insufficient balance to cover transaction, an expired or blocked payment card, exceeded credit limit, security measures due to outdated information provided to the bank, etc), the Company may attempt to automatically reprocess the payment up to 3 times until the current Service provision period ends or the payment is successful (in non 1-day-subscription plans the Company may make attempts to reprocess payments at intervals not shorter than 12 hours ). The attempts to reprocess the payments are done until the scheduled plan renewal moment. By ordering and further using our Services, You confirm understanding and express Your consent that the Company has a right to initiate automated retries. Such automated payment retries are done to ensure proper and timely payment for the Service, as well as uninterrupted Service.
3.2.5. In the event of a payment failure due to reasons on the Client’s side, the respective Service provision shall be terminated. To reinstate the provision of Services the Client shall process a new order for Services as per the Service offer and Terms applicable at the time.
4. Payments for Services and Refunds
4.1. The Company shall have a right unilaterally, at its own discretion, to determine the cost of Services, the duration of the validity of the price, the applicable promotions and discounts, other rules related to the scope of Services, or the payment for the Services. The Client shall always check the System and dashboard for applicable prices and features for every Service before making an order.
4.2. Renewal Pricing: You acknowledge that the renewal prices as seen displayed on our System and dashboard that were applied to Your initial purchase may be subject to change. In the event that the renewal price has been modified, You will be charged with the price which is the latest and valid at the time of Your subscription’s auto-renewal. You will be notified of any price changes at least 5 days before Your subscription renewal date (with 1-day plans: we will notify You 5 days in advance and the updated prices will be applied after 5 days). This will give You the opportunity to cancel Your subscription before the new subscription period with the modified price begins if You do not agree with the new price.
4.3. The latest and up-to-date list of applicable prices for every category of the Services, as well as a list of Service offer is available on the System https://iproyal.com/ and in the dashboard.
4.4. The Client can use a “User balance” functionality on the System to cover payments for Services. The Company is constantly trying to find the most convenient payment solutions, including the expansion of ways to deposit the funds to the “User balance”. The current list of possible solutions to deposit and withdraw funds into/from “User balance” is available in the section “Deposit” in the System. You must check possible options for fund withdrawal on the System before making any deposit into “User Balance”. Withdrawals of some funds may be restricted or impossible . It is the Client’s responsibility to understand the available withdrawal and use options before depositing funds into the “User balance”. We encourage Clients to carefully review the information provided in the “Deposit” section of their account dashboard to understand any potential restrictions or limitations before making a deposit.
4.5. The Client must ensure that payment details provided to the Company upon paying for the purchase or later changed on the dashboard are valid, up-to-date and ensure sufficient limit of funds to cover the recurring payments for renewed Service provision periods.
4.5.1. You may terminate Your subscription at any moment, as outlined in clause 2.2., prior to the start of the upcoming Service provision period. Subscription termination can be done through Your dashboard. However, please note that cancellations will not receive refunds for the remaining time in Your current Service provision period unless applicable law or these Subscription terms provide otherwise.
4.5.2. Any fees paid for Service are non-cancelable and non-refundable.
4.5.2.1. Exception to the clause 4.5.2.: as it is specified in Terms of Service clause 6.9.
4.5.2.2. In case You initiated the subscription plan cancellation before the start of the next renewed Service provision period but later than indicated in the clause 3.2.3, and You were charged the subscription fee, You shall be eligible for the refund of the charged fee if You inform the Company until the next renewed Service provision period starts. An exception from this clause is Data-based plans . For Data-based plans, a refund is possible within 72 hours from the charge moment if the newly purchased data has not been used.
4.5.2.3. If You select to terminate the Agreement by deleting Your Account as indicated in clause 10.5.1. Of Terms of Service, You should be aware that deleted accounts will not be refunded in any scope, including any remaining (unused) part of the ongoing Service provision period. In case Your Account was deleted before the new Service provision period starts but You have already been charged for the following Service period, You are eligible to request a refund.
4.5.3. Fees for the Services are indicated net of any withholding taxes or any other taxes. You, as a Client, shall be responsible for paying any applicable taxes, levies, duties, or any other fees, if applicable.
4.5.4. The Client warrants using and providing payment information that is owned by the Client or that the Client has a right to use it.
4.5.5. Any claims regarding the applied Services’ fee or amounts charged must be submitted in writing no later than 3 months after the date of application of the fee or the charging of the amount.
4.5.6. Transactions can be processed through various payment providers and/or managed by various services providers. The Company uses services from the following providers: Bitlocus (provided by Bitlocus LT, UAB), Simoresta (provided by Simoresta, UAB), CoinGate (provided by Decentralized, UAB), Paddle (provided by Paddle.com Market Ltd.), Stripe (provided through Dataforge Innovations Inc.), AliPay (provided by Airwallex (Hong Kong) Limited).
5. Amendments
5.1. We reserve the right to modify these Subscription Terms at any time. Clients will be notified of any significant changes via email.
